How to keep corporate records after incorporating

This page is a public educational walkthrough. It is not a retainer, a court form, or a promise about your result. For legal advice, you should contact an appropriate Lawyer or Paralegal specializing in the area of law you need assistance with.

  1. Incorporation is the beginning of a paper trail

Ontario Business Corporations Act companies keep articles, by-laws, director registers and shareholder registers.

  2. The registered office is where official mail can go

Changing it is a filing, not a social-media update.

  3. Contracts should use the corporation’s legal name

Signing personally can put you back on the hook.

  4. Annual resolutions and tax filings are different calendars

Missing one does not excuse the other.

  5. Dissolving or selling the company is a new process

Do not assume the corporation vanishes because operations stopped.
